RightsCopy.exe
RightsCopy Copies the NTFS rights (ACL's) from one file to another.
The syntax of this command is:
RIGHTSCOPY Source Destination
Source and destination should be terminated by a backslash e.g. :
RIGHTSCOPY C:\TEMP\ D:\TEMP\
NOTE: If you wish to copy the rights of the directory AND its contents, you need to use BOTH commands. Of course you'll need to copy the physical files separately and in advance.
